2. Scope Of These Terms
These Terms and Conditions apply to:
- Use of our website at www.forestgrove.com
- Any request for information, consultation, or quotation submitted via the website or by email
- All services provided by FGUK Ltd, including but not limited to: PMO, Project Delivery, Digital Services, Renewables (BESS, Solar, EVCP), Artificial Intelligence, and Start-Up Advisory
Where a separate written contract or Statement of Work (SOW) is in place, those terms shall take precedence over these general Terms and Conditions in the event of any conflict.
3. Use Of Our Website
3.1 Permitted Use
You may use our website for lawful purposes only. You agree not to:
- Use the site in any way that breaches applicable laws or regulations
- Transmit unsolicited commercial communications (spam)
- Attempt to gain unauthorised access to any part of our systems or infrastructure
- Introduce viruses, malware, or any other harmful material
- Scrape, copy, or reproduce content from this website without our prior written consent
3.2 Availability
We aim to keep the website available at all times but do not guarantee uninterrupted access. We reserve the right to suspend, withdraw, or restrict access to the site at any time without notice, including for maintenance or security purposes.

4 Our Services
4.1 Engagement
All service engagements are subject to a formal agreement between FGUK Ltd and the client, which may take the form of a proposal, contract, or Statement of Work. Services will not commence until such agreement is in place and any required deposit or initial payment has been received.
4.2 Scope Changes
Any changes to the agreed scope of work must be requested in writing and will be subject to a formal change control process. Additional work outside the original scope may incur additional charges, which will be agreed in advance.
4.3 Client Obligations
To enable us to deliver services effectively, clients agree to:
- Provide accurate, timely, and complete information as reasonably required
- Appoint a named point of contact with appropriate authority
- Make decisions and provide approvals within agreed timescales
- Ensure that any materials, access, or third-party consents required are made available
We accept no liability for delays or failure to deliver where such delays are caused by the client’s failure to meet these obligations.
4.4 Subcontracting
We reserve the right to subcontract elements of our services to trusted third parties within the Struan Group or external specialists. We remain responsible for the delivery of all contracted services regardless of any subcontracting arrangement.
5. Fees & Payment
5.1 Pricing
Fees for services will be set out in the relevant proposal or contract. All prices are quoted in pounds sterling (GBP) and are exclusive of VAT unless otherwise stated.
5.2 Invoicing & Payment Terms
Unless otherwise agreed in writing, our standard payment terms are:
- Invoices are due within 30 days of the invoice date
- Payment is to be made by BACS transfer to the bank details provided on the invoice
- A deposit may be required prior to commencement of work, as specified in the relevant proposal
5.3 Late Payment
We reserve the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, at a rate of 8% above the Bank of England base rate. We also reserve the right to suspend services where payment is overdue by more than 14 days.
5.4 Expenses
Where travel, accommodation, or other out-of-pocket expenses are necessarily incurred in the delivery of services, these will be recharged at cost with the client’s prior approval.
6. Intellectual Property
6.1 Our IP
All intellectual property rights in our website content, methodologies, frameworks, templates, and pre-existing materials remain the property of FGUK Ltd or the Struan Group. Nothing in these terms transfers ownership of such rights to you.
6.1 Deliverables
Unless otherwise agreed in writing, intellectual property rights in deliverables created specifically for a client will transfer to that client upon receipt of full payment. Until full payment is received, all deliverables remain the property of FGUK Ltd.
6.3 Client Materials
You retain ownership of all materials, data, and content you provide to us. By providing such materials, you grant us a licence to use them solely for the purpose of delivering the contracted services.
6.4 Website Content
You may not reproduce, distribute, or republish any content from www.forestgrove.com without our prior written consent. You may share links to our website for non-commercial purposes.
7. Confidentiality
Both parties agree to keep confidential any information disclosed in connection with an engagement that is identified as confidential or that would reasonably be understood to be confidential in nature. This obligation does not apply to information that:
- Is or becomes publicly available through no breach of this obligation
- Was already known to the receiving party prior to disclosure
- Is independently developed without reference to the confidential information
- Is required to be disclosed by law, regulation, or court order
Confidentiality obligations survive the termination of any engagement for a period of three years.
8. Limitation of Liability
8.1 What We Are Not Liable For
To the fullest extent permitted by law, FGUK Ltd shall not be liable for:
- Loss of profits, revenue, or anticipated savings
- Loss of business, contracts, or opportunities
- Loss or corruption of data
- Any indirect, special, or consequential loss arising from use of our website or services
8.2 Cap on Liability
Our total aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
8.3 Exceptions
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Scots or English law.
9. Termination
9.1 Termination By Either Party
Either party may terminate an engagement by providing written notice as specified in the relevant contract or proposal. In the absence of a specific notice period, 30 days’ written notice is required.
9.2 Termination For Cause
Either party may terminate an engagement with immediate effect by written notice if the other party:
- Commits a material breach of these terms or the relevant contract and fails to remedy it within 14 days of written notice
- Becomes insolvent, enters administration, or is subject to a winding-up order
- Acts in a way that brings the other party into disrepute
9.3 Effect Of Termination
On termination, all outstanding fees for work completed up to the date of termination become immediately due and payable. Where a client terminates without cause, any non-refundable deposit or advance payment is forfeited. Each party shall promptly return or destroy the other’s confidential information.
10. Third-Party Links & Services
Our website may contain links to third-party websites and our services may integrate with third-party platforms or tools. We are not responsible for the content, accuracy, or practices of third-party sites and services. Any use of third-party services is at your own risk and subject to their respective terms.
11. Data Protection
We process personal data in accordance with UK GDPR and our Privacy Policy, available at www.forestgrove.com. Where we process personal data on behalf of a client as a data processor, we will enter into a Data Processing Agreement as required by applicable law.
12. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, extreme weather events, pandemic, government action, industrial disputes not involving that party, or failure of third-party infrastructure. The affected party must notify the other promptly and take reasonable steps to mitigate the impact.
13. Governing Law & Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of Scotland. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the Scottish courts.
Where a client is based in England, Wales, or Northern Ireland, we may agree in writing to apply the law of that jurisdiction. Any such agreement must be confirmed in the relevant contract.
14. Changes to These Terms
We reserve the right to update these Terms and Conditions at any time. The current version will always be published at www.forestgrove.com. Continued use of our website or services following any update constitutes acceptance of the revised terms. For active engagements, material changes will be communicated directly.
